Definition: A non-disclosure agreement, or NDA, is a legally binding document between at least two parties that details the type of information that may be considered confidential and whether or not the information can be disclosed, or shared with others, and under what conditions. Typically, a client asks (or requires) a consultant or independent contractor to sign an NDA because he or she is often privy to sensitive information about the client company.
